These terms form an agreement between you and Manush Digitech Pvt. Ltd. ("we", "us"), the provider of Proteract, a browser-based online taxi management system for dispatch, bookings, drivers, vehicles, fares and reporting. By creating an account or continuing to use Proteract, you agree to these terms.

1. Who you are contracting with

Proteract is owned and operated by Manush Digitech Pvt. Ltd.. Where these terms refer to the "service", they mean the Proteract web application, its documentation and any related support we provide.

2. Acceptance and authority

By signing up, accepting an invitation to a workspace, or continuing to use the service, you accept these terms. If you use Proteract on behalf of a taxi company or other organisation, you confirm you have authority to bind that organisation. If you are using it as an individual, you confirm you are of legal age to enter a contract.

3. Your account

Each signup creates an isolated company workspace. You are responsible for the accuracy of the information you provide, for keeping account credentials confidential, and for all activity carried out under accounts in your workspace — including dispatchers, drivers and administrators you invite. Tell us promptly if you suspect unauthorised access.

4. Licence and restrictions

We grant you a limited, non-exclusive, non-transferable right to use Proteract for your own fleet operations, within the limits of the plan you have selected (including driver seat limits). You may not reverse engineer the service, resell or redistribute access, or circumvent technical limits such as plan seat caps or role-based permissions.

5. Acceptable use

You must not misuse the service. In particular, you must not:

  • use Proteract for any unlawful purpose, or to arrange unlawful transport services;
  • commit fraud, send spam, or upload malicious code;
  • infringe anyone else's intellectual property or privacy rights;
  • interfere with the security or integrity of the service — including probing, scanning, scraping, or attempting to access another company's workspace data.

6. Your data and content

Booking records, passenger details, driver and vehicle records and fare rules you enter remain yours. You grant us a limited licence to host and process that content solely to operate the service for you. You are responsible for having a lawful basis to enter personal data about passengers and drivers, and for informing them as required by law.

7. Intellectual property

We retain all ownership of Proteract, including its software, interface, documentation and branding. Nothing in these terms transfers any of our intellectual property to you.

8. Service availability

We work to keep Proteract available and accurate, but we do not guarantee uninterrupted or error-free performance. Maintenance, third-party outages and factors outside our control may affect availability. Fare quotes, distance estimates and reports are tools to support your decisions — you remain responsible for the prices you charge and the jobs you dispatch.

9. Payments, subscriptions and Merchant of Record

Proteract is sold as a monthly or yearly subscription (Starter, Fleet or Enterprise). Subscriptions renew automatically for the same period until cancelled.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle also acts as the seller of record for order processing, invoicing, and applicable taxes, and manages payment, billing and subscription mechanics — see Paddle's Buyer Terms for these details.

Card details are handled directly by Paddle at checkout; we do not receive or store them. If you need to request a refund or have a billing question, contact Paddle via paddle.net or reach us at support@proteract.app.

10. Suspension and termination

We may suspend or terminate access where there is a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. You may cancel your subscription at any time. On termination, you can export your bookings and reports as CSV for 30 days, after which workspace data may be deleted.

11. Warranties and liability

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect or consequential loss, including lost profits, lost bookings, lost data or loss of goodwill. Our total aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

12. Indemnity

You will indemnify us against claims arising from content you enter into the service, your unlawful use of it, or your breach of these terms.

13. Changes, assignment and force majeure

We may update these terms; material changes will be notified in-app or by email. You may not assign this agreement without our consent; we may assign it as part of a merger or acquisition. Neither party is liable for delays caused by events beyond their reasonable control.

14. Governing law and contact

These terms are governed by the laws of the jurisdiction in which Manush Digitech Pvt. Ltd. is established, and disputes will be heard by the courts of that jurisdiction. Questions about these terms: support@proteract.app.
